This AGREEMENT was made on _____________ between ________________ of ________________ _______________ and DiAnne Wood of 2320 North Wooster Avenue, Dover, Ohio 44622.  In consideration of the mutual promises in this contract, the parties agree to abide by all the terms of this contract.

1.    Services To Be Performed: Contractor agrees to perform Medical Transcription services from an off-site location.  Customer is to use hand-held digital or tape recording devices and create voice files of medical dictation.  The final product will be completed to Client’s satisfaction.  Contractor (or appointed courier) is responsible to pick up tapes and drop off transcription at Client’s office unless other arrangements are made in advance.

2.    Turnaround: Contractor agrees to complete the performance of these services and return the transcribed notes within two business days unless other arrangements have been made.

3.    Payment: In consideration of Contractor's performance of these services, Client agrees to pay Contractor 13 cents per line.  A line is considered 65 keystrokes including any letter, number, space bar, or other keystroke necessary for the final appearance and content of the document.  Payment will coincide with Client’s routine payday schedule, not less frequently than bi-monthly. 

4.    Invoices: Contractor will submit an invoice detailing the previous week’s line count no later than 5 o’clock on Monday.  This invoice may be sent to Client via paper invoice, fax or e-mail attachment unless other arrangements are agreed upon.

5.    Communication: Communication between the Contractor and Client will be via e-mail, instant message, phone or fax on an as-needed basis.

6.    Other Clients: Contractor retains the right to perform services for other clients.

7.    Assistants: Contractor, at Contractor's expense, may employ such assistants as Contractor deems appropriate to carry out this agreement. Contractor will be responsible for paying such assistants, as well as any expense attributable to such assistants, including income taxes, unemployment insurance, and social security taxes, and will maintain workers' compensation insurance for such employees.

8.    Equipment and Supplies: Contractor, at Contractor's own expense, will provide all equipment necessary to perform the above services.  Transcription will be printed using black ink on plain white bond paper, which will be provided by Contractor. Alternatively, the transcription may be typed into a digital file and sent to Contractor via secure Internet source or saved onto disc for printing and uploading by Contractor.  If other supplies (i.e. special papers, envelopes, etc.) are required, they will be provided by Client.

9.    Confidentiality:  Contractor agrees to not violate any confidence of the patients or their families through indiscriminate discussion pertaining to patients, their treatment, diagnosis or progress.  Contractor understands and agrees that all patient records and patient information are strictly confidential and will not make any disclosures. 

10.    Termination:  Either party may terminate this contractual agreement upon written’ notice.
